TERMS AND CONDITIONS FOR ONLINE SALES

These Terms and Conditions for Online Sales apply to purchases made through www.woolrich.us (the “Site”). Please read them carefully before placing an order.
1. Your Rights and Obligations
THIS DOCUMENT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MAY APPLY TO YOU. PLEASE READ IT CAREFULLY.
THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
BY PLACING AN ORDER FOR PRODUCTS THROUGH THE SITE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
YOU MAY NOT ORDER OR PURCHASE PRODUCTS THROUGH THE SITE IF YOU DO NOT AGREE TO THESE TERMS.
These Terms and Conditions for Online Sales (the “Terms”) apply to the purchase and sale of products through www.woolrich.us. These Terms may be updated from time to time by Woolrich USA Inc. (“Woolrich,” “we,” “us,” or “our,” as the context may require). The latest version will be posted on the Site with the “Last Updated” date shown above. You should review these Terms before purchasing products through the Site.
These Terms form an integral part of the Terms of Use that apply generally to your use of the Site. You should also review our Privacy Policy before placing an order.
2. Order Acceptance and Cancellation
Your order constitutes an offer to purchase the products listed in your order under these Terms. All orders are subject to acceptance by Woolrich. We may decline or cancel an order in our discretion, including where a product is unavailable, pricing or product information is incorrect, payment authorization is unsuccessful, or fraud or unauthorized activity is suspected.
After receiving your order, we will send you an order confirmation email containing your order number and details of the products ordered. Acceptance of your order and formation of the sales contract between you and Woolrich will occur when we send the order confirmation email.
To request cancellation, contact customer.care@woolrich.us as soon as possible after placing your order. Cancellation is not guaranteed once an order has entered processing or has been shipped.
3. Prices and Payment Terms
All prices displayed on the Site are subject to change without notice. The price charged for a product will be the price displayed at the time the order is placed and will be stated in your order confirmation email. Price changes will apply only to orders placed after the change.
Displayed product prices do not include applicable taxes or shipping and handling charges unless expressly stated otherwise. Applicable taxes and shipping charges will be added to your order total and displayed in the shopping cart, at checkout, or in your order confirmation.
Payment must be received before we accept an order. We currently accept Visa, Mastercard, American Express, Diners Club, Discover, Shop Pay, Shop Pay Installments, Apple Pay, Google Pay, and PayPal Wallet, subject to availability and eligibility at checkout. Available payment methods may vary depending on your device, location, and order eligibility.
4. Shipments; Delivery; Title and Risk of Loss
Woolrich currently ships to addresses within the contiguous United States. We do not currently ship to Alaska, Hawaii, or Puerto Rico.
Orders are shipped via FedEx. For orders under USD 200, a flat shipping fee of USD 25 applies. Complimentary standard shipping is provided for orders of USD 200 or more. The order value used to determine shipping eligibility is calculated before shipping charges are applied.
We will arrange shipment of the products to you. Available delivery information and applicable shipping charges will be displayed during checkout where available.
Title to and risk of loss for products purchased through the Site pass to you upon delivery. Shipping and delivery dates are estimates only and cannot be guaranteed. Woolrich is not responsible for carrier delays caused by weather, service disruptions, or other circumstances outside our reasonable control.
5. Returns and Refunds
Except for products identified as non-returnable or Final Sale, Woolrich accepts returns of eligible products purchased through the Site within 30 days of the delivery date.
To be eligible for return, products must be unworn, unwashed, unused, unaltered, and undamaged; have all original tags and labels attached; and be returned with their original packaging and any accessories included with the product.
Products marked Final Sale, as well as personalized or customized products, are not eligible for return or exchange. Such products will be identified as Final Sale on the product page, in the shopping cart, or at checkout before purchase is completed.
To start a return, visit the Woolrich Return Portal and enter the requested order information. Returns must be authorized before shipment.
For eligible returns from orders of USD 200 or more, Woolrich covers standard return shipping and will provide a prepaid return label through the Woolrich Return Portal.
For orders under USD 200, return shipping is the customer’s responsibility unless the returned product is incorrect, damaged, defective, or significantly not as described. In such cases, Woolrich will provide a prepaid return label at no cost to the customer.
Original delivery charges, including expedited shipping charges, are non-refundable unless the return results from an incorrect, damaged, or confirmed defective product.
Once a return is received, the product will be inspected. Approved refunds will be issued to the original payment method within 7–10 business days after receipt and inspection. Your financial institution may require additional time to post the refund to your account.

6. Manufacturing Defects
If a product arrives incorrect, damaged, or with a suspected manufacturing defect, contact customer.care@woolrich.us promptly and provide your order number and supporting photographs where requested.
Suspected manufacturing defects will be reviewed by Woolrich Customer Care through the applicable quality or warranty review process. If the issue is confirmed, Woolrich will provide a prepaid return label and may offer a full refund, replacement, repair, or exchange at no additional shipping cost, as appropriate.
Manufacturing defect claims may be reviewed separately from standard returns and are not restricted by the standard 30-day return period where applicable law, warranty rights, or consumer protection rights provide otherwise.
Normal wear and tear, accidental damage, improper care, unauthorized alterations or repairs, misuse, and failure to follow product care instructions are not considered manufacturing defects.
Nothing in these Terms limits any statutory rights you may have regarding defective, damaged, or misrepresented products.
7. Privacy
We respect your privacy and are committed to protecting it. Our Privacy Policy governs the collection and processing of personal information in connection with your purchase of products through the Site.
8. Force Majeure
Neither party will be liable or responsible to the other party, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing an obligation under these Terms, except for your payment obligations, where and to the extent the failure or delay is caused by events beyond the affected party’s reasonable control.
Such events may include acts of God; flood, fire, earthquake, epidemic, pandemic, or explosion; war, invasion, hostilities, terrorist threats or acts, riot, or civil unrest; government orders, laws, or actions; embargoes or blockades; national or regional emergencies; strikes, labor stoppages, or other industrial disturbances; telecommunications failures; power outages or shortages; lack of warehouse or storage capacity; inadequate transportation services; inability or delay in obtaining adequate or suitable materials; and other similar events beyond the affected party’s reasonable control.
The affected party will provide notice within 15 days after becoming aware of the event, where reasonably practicable, and will use diligent efforts to minimize the effects of the event and resume performance as soon as reasonably practicable.
If the failure or delay continues for 90 consecutive days following notice, either party may terminate the affected transaction upon 15 days’ written notice, subject to applicable law.
9. Governing Law and Jurisdiction
All matters arising out of or relating to these Terms are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice-of-law or conflict-of-law provision or rule that would require or permit the application of the laws of another jurisdiction.
10. Dispute Resolution and Binding Arbitration
YOU AND WOOLRICH AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IN COURT MAY ALSO BE UNAVAILABLE OR LIMITED IN ARBITRATION.
ANY CLAIM, DISPUTE, OR CONTROVERSY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT, OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE, OR EQUITABLE CLAIMS, BETWEEN YOU AND WOOLRICH ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF PRODUCTS THROUGH THE SITE WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.
The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules then in effect, except as modified by this Section 10. The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879. The Federal Arbitration Act will govern the interpretation and enforcement of this section.
The arbitrator will have exclusive authority to resolve any dispute concerning the arbitrability or enforceability of this arbitration provision, including any challenge that the arbitration provision or these Terms are void, voidable, unconscionable, or otherwise invalid.
The arbitrator may grant any relief that would be available in court under applicable law or equity. Any arbitration award will be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.
You may elect to pursue your claim in small claims court rather than arbitration if you provide Woolrich with written notice of your intention to do so within 60 days of your purchase. Any arbitration or small claims court proceeding will be limited solely to your individual dispute or controversy.
YOU AGREE TO ARBITRATION ON AN INDIVIDUAL BASIS. IN ANY DISPUTE, NEITHER YOU NOR WOOLRICH WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR PRIVATE ATTORNEY GENERAL.
The arbitral tribunal may not consolidate more than one person’s claims and may not otherwise preside over any representative or class proceeding. The arbitral tribunal has no authority to determine the enforceability of the class arbitration waiver. Any challenge to the class arbitration waiver may be raised only in a court of competent jurisdiction.
If any provision of this arbitration agreement is found to be unenforceable, the unenforceable provision will be severed and the remaining arbitration provisions will remain in effect.
11. No Waivers
Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. A waiver will be effective only if it is in writing and signed by an authorized representative of Woolrich.
12. Notices
To You. We may provide notice to you under these Terms by sending a message to the email address you provided or by posting the notice on the Site. Notices sent by email will be effective when sent. Notices posted on the Site will be effective when posted. You are responsible for keeping your email address current.
To Us. To provide notice to us under these Terms, you must send the notice by personal delivery, nationally recognized overnight courier, or registered or certified mail to: Woolrich USA Inc., 136-56 39th Ave, Suite 302A, Flushing, New York 11354, United States. We may update this address by posting an updated notice on the Site. Notices delivered personally will be effective immediately. Notices sent by overnight courier will be effective one business day after dispatch. Notices sent by registered or certified mail will be effective three business days after dispatch.
13. Severability
If any provision of these Terms is found to be invalid, illegal, void, or unenforceable, that provision will be severed from these Terms and will not affect the validity or enforceability of the remaining provisions.
14. Entire Agreement
Your order confirmation, these Terms, the applicable Terms of Use, the Privacy Policy, and the other Site policies applicable to your order constitute the final and entire agreement between you and Woolrich concerning the purchase of products through the Site and supersede all prior or contemporaneous communications concerning that purchase.
